1. Introduction

These Terms of Service ("Terms") govern your use of the services provided by ILS Analytical LLC ("ILS Analytical," "we," "us," or "our"), a company located at 8222 Vickers Street, San Diego, CA 92111. By engaging our services or using our website, you agree to be bound by these Terms.

2. Services Provided

ILS Analytical LLC provides client services, billing, and platform access for analytical testing services. All laboratory testing is performed by ILS Labs Inc., a licensed and certified analytical laboratory operating under contract with ILS Analytical LLC.

Services include but are not limited to: client onboarding, quotation preparation, order coordination, invoicing, payment collection, account management, and communication support related to scientific and analytical service engagements.

3. Research Use Only

All testing results provided through ILS Analytical and its laboratory partners are for research use only (RUO). Testing results are not intended for clinical diagnostic purposes and should not be used as the sole basis for any clinical or regulatory decision.

4. Payment Terms

Payment for services is due upon receipt of invoice unless otherwise agreed in writing. ILS Analytical reserves the right to suspend services or withhold results for accounts with outstanding balances. All prices are quoted in U.S. dollars and are subject to change with prior notice.

5. Refund and Cancellation Policy

Cancellation requests must be submitted in writing prior to the commencement of testing. Once testing has begun, cancellations may be subject to partial or full charges depending on the stage of work completed. Refunds, if applicable, will be issued at the sole discretion of ILS Analytical LLC and will be processed within 30 business days.

6. Limitation of Liability

To the fullest extent permitted by law, ILS Analytical LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to the claim.

7. Intellectual Property

All content on the ILS Analytical website, including text, graphics, logos, and software, is the property of ILS Analytical LLC and is protected by applicable intellectual property laws. Testing data and results belong to the client upon full payment for the associated services.

8. Confidentiality

ILS Analytical treats all client information, sample details, and testing results as confidential. We will not disclose client information to third parties except as required to fulfill service obligations (e.g., sharing with laboratory partners) or as required by law.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved in the courts of San Diego County, California.

10. Changes to Terms

ILS Analytical reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
